| Job Description | - Handle, facilitate, structure and close transactions in connection with Hard asset using Trust/TMK scheme, focusing on documentation and closing process. - Review and summarize the legal issues on deal contracts (Sales & Purchase Agreement, Trust Agreement, Financing, Management Documents), report those issues to the Due Diligence team & Asset Management team as well as acquisition deal issues, and liaise and incorporate required amendments. - Financing and Structuring - Coordinate with seller, lender and trustee to close transaction successfully - Arrange for and direct funding to close deals - Draft, prepare and manage important legal documents such as, Memorandum of Understanding, Sales & Purchase Agreement, Trust Agreement and other contracts. Also counsel, advise and resolve legal issues which arise, and negotiate with the parties related - Negotiate with trust bank for a trust term - Prepare a deal-structure for a Hard Asset acquisition transaction - Decide and manage deal-closing schedule - Conduct document check & lien check in connection with a pre-closing of Hard Asset and NPL transactions, and NPL Due Diligence process - Review legal issues (lease arrangement, tenant, security deposit, latent defect and so on) at Asset Management process and figure them out - Those who have legal background with financing expertise, experience at trust bank or real estate company in legal/closing division would be preferred |
